The Everywhere Millionaire: Your Dentist Pays a Lower Tax Rate Than You Do

Princeton and Chicago economists spent a decade building a Treasury database and found roughly 3 million Americans worth an average of $25 million each — car dealers, dentists, HVAC contractors — quietly using a tax code written for them. Trump just made the main mechanism permanent.

WHAT'S HAPPENING

Princeton economist Owen Zidar and Chicago's Eric Zwick built the first database linking IRS business records to their owners. They found around 3 million Americans — not tech founders, not bankers — collectively holding over $65 trillion in wealth through private pass-through businesses: S-corps, partnerships, LLCs. Car dealers, dentists, beer distributors. The engine is Section 199A: a 20% deduction on business profits unavailable to anyone on a payroll. Trump's One Big Beautiful Bill, signed July 4 2025, made it permanent.

YOUR WALLET

A hospital doctor on a W-2 salary hits the 37% federal bracket plus 0.9% additional Medicare tax. Her colleague who owns the same practice through an S-corp can land her effective federal rate under 30% — a 7-plus point gap on identical work. The QBI deduction was projected to cut federal revenues by $60.9 billion in 2025 alone. Now it's permanent, costing an estimated $684 billion over the next decade. If you earn a salary, that gap is being paid for partly by you.

YOUR WILL

Law of the Narcissist: the tax code flatters business owners into believing their lower rate is earned, not gifted. The framing is entrepreneurial reward. The reality is that two people doing the same work, in the same building, pay structurally different rates based on which box they ticked on a company formation form. That belief — that the rate difference reflects merit — stops people asking who wrote the rule and who it was written for.

THE MOVE

The Sovereign One doesn't spend a career on a W-2 if the code taxes ownership less than labour. The question worth sitting with: what is the smallest viable structure that moves your income from wage to pass-through? Step 4: Build the Strategic Reserve. Margin isn't idleness — it's the gap between your tax bill and theirs that funds the next position.

02

Labour Promised to Close the Carried Interest Loophole. It Moved the Rate 6 Points.

UK private equity fund managers were paying 28% on their share of profits. Labour called it a loophole, put it in the manifesto, won the election, and then set the new rate at 34.1%. The top income tax rate is 45%. The 'reform' raises an estimated £85 million a year by 2029.

WHAT'S HAPPENING

Carried interest is the share of fund profits private equity managers take as a reward for performance — typically 20% of gains. Before Labour, it was taxed as capital gains at 28%. The manifesto said close the loophole. What actually happened: from April 2026, qualifying carried interest is reclassified as trading income but taxed at a 72.5% multiplier against the 45% rate, landing at a 34.1% effective rate. Firms including Blackstone, KKR and EQT lobbied against even that. The Treasury says this raises £85 million a year by 2029-30.

YOUR WALLET

A senior UK private equity partner earning £5 million in carry this year pays roughly £1.7 million in tax at 34.1%. At the 45% top rate a salaried worker faces, that same £5 million generates £2.25 million. The gap is £550,000 per person, per year. Tax Justice UK estimated full equalisation would raise £510 million annually. The government chose £85 million. The lobbying budget of the firms who fought this was considerably larger than £85 million.

YOUR WILL

Law of Projection: Labour announced the closure of a loophole while leaving most of the structure intact, then pointed at the announcement as evidence of reform. The public sees a headline about closing a loophole. The private equity industry sees a 6-point rate increase after sustained lobbying. The mechanism here is moral theatre: perform the reform loudly enough that the actual outcome gets buried in the technical detail. Ask what the number is, not what the story is.

THE MOVE

The Sovereign One reads the legislation, not the press release. The effective rate for qualifying carry is 34.1%. The top income rate is 45%. That 11-point gap is the loophole. It didn't close; it narrowed. Step 6: Internal Intelligence Agency. The most expensive deception isn't the one in the headlines — it's the one dressed as a victory.

UK Business Property Relief: Die Owning the Right Company, Pay Zero Inheritance Tax Up to £2.5 Million

Wage earners leave money to their kids and pay 40% inheritance tax above £325,000. Business owners die holding shares in an unlisted trading company and pay nothing on the first £2.5 million. The rule was designed for family farms. It runs through dental chains, property-holding companies and professional practices.

WHAT'S HAPPENING

UK Business Property Relief (BPR) exempts qualifying unlisted business assets from inheritance tax. Own shares in an unlisted trading company for two years before death and the first £2.5 million passes to your heirs completely free of the 40% IHT charge. A spouse can stack allowances, taking the household limit to £5 million. The relief was reformed in April 2026 — previously 100% unlimited. The cap rose from the originally announced £1 million to £2.5 million after sustained lobbying. IHT receipts hit £6.3 billion in nine months to December 2024, a £600 million year-on-year rise. None of that came from qualifying business owners below the cap.

YOUR WALLET

A salaried worker with a £500,000 estate above the nil-rate band pays £200,000 in inheritance tax. A dentist who incorporated her four-branch practice, held the unlisted shares for two years, and died this April passes £2.5 million to her children tax-free — a £1 million IHT saving compared to the same wealth in cash or property. The gap between owning a business and owning a home is £1 million in inheritance tax on the same underlying wealth.

YOUR WILL

Law of the Landlord: the rule extracts from those who accumulate wealth in the most common form — property, savings, pension — and exempts those who hold it in the least accessible form: unlisted company shares. The Landlord doesn't need to be hostile. The structure does the work. Most people paying 40% IHT didn't know the exempt route existed. The ones who did had a solicitor and two years to wait.

THE MOVE

The Sovereign One knows the asset class matters as much as the asset. The same £2.5 million in a savings account costs £1 million at death. In qualifying unlisted shares, it costs nothing. Step 2: Sanction the Inputs. Every pound you let sit in the wrong structure is paying a tax your adviser's client isn't. The question: what structures does your wealth currently sit in, and who does each one benefit at death?

THE PATTERN
01

LAW OF THE NARCISSIST

the tax code flatters business owners into believing their lower rate is earned, not gifted.

02

LAW OF PROJECTION

Labour announced the closure of a loophole while leaving most of the structure intact, then pointed at the announcement as evidence of reform.

03

LAW OF THE LANDLORD

the rule extracts from those who accumulate wealth in the most common form — property, savings, pension — and exempts those who hold it in the least accessible form: unlisted company shares.

What repeats is trying to tell you something.
