UK Business Property Relief: Die Owning the Right Company, Pay Zero Inheritance Tax Up to £2.5 Million
Wage earners leave money to their kids and pay 40% inheritance tax above £325,000. Business owners die holding shares in an unlisted trading company and pay nothing on the first £2.5 million. The rule was designed for family farms. It runs through dental chains, property-holding companies and professional practices.

What's Happening
UK Business Property Relief (BPR) exempts qualifying unlisted business assets from inheritance tax. Own shares in an unlisted trading company for two years before death and the first £2.5 million passes to your heirs completely free of the 40% IHT charge. A spouse can stack allowances, taking the household limit to £5 million. The relief was reformed in April 2026 — previously 100% unlimited. The cap rose from the originally announced £1 million to £2.5 million after sustained lobbying. IHT receipts hit £6.3 billion in nine months to December 2024, a £600 million year-on-year rise. None of that came from qualifying business owners below the cap.
Your Wallet
A salaried worker with a £500,000 estate above the nil-rate band pays £200,000 in inheritance tax. A dentist who incorporated her four-branch practice, held the unlisted shares for two years, and died this April passes £2.5 million to her children tax-free — a £1 million IHT saving compared to the same wealth in cash or property. The gap between owning a business and owning a home is £1 million in inheritance tax on the same underlying wealth.
Your Will
Law of the Landlord: the rule extracts from those who accumulate wealth in the most common form — property, savings, pension — and exempts those who hold it in the least accessible form: unlisted company shares. The Landlord doesn't need to be hostile. The structure does the work. Most people paying 40% IHT didn't know the exempt route existed. The ones who did had a solicitor and two years to wait.
The Move
The Sovereign One knows the asset class matters as much as the asset. The same £2.5 million in a savings account costs £1 million at death. In qualifying unlisted shares, it costs nothing. Step 2: Sanction the Inputs. Every pound you let sit in the wrong structure is paying a tax your adviser's client isn't. The question: what structures does your wealth currently sit in, and who does each one benefit at death?
Eat or become food, Darling.
